These Terms of Use govern your access to and use of the Athena Text website and platform operated by Powo Studios LLC. By accessing or using the Service, you agree to these terms.

1. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms of Use. You shall not:

  • Use the Service in any way that violates applicable laws or regulations
  • Send unsolicited or unauthorized advertising, spam, or promotional material through the Service
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use automated scripts, bots, or scrapers to access the Service without our written consent
  • Transmit any viruses, malware, or other harmful code
  • Impersonate any person or entity or misrepresent your affiliation

2. SMS and Messaging Compliance

If you use Athena Text to send SMS messages, you agree to:

  • Obtain proper consent from recipients before sending messages, in compliance with the Telephone Consumer Protection Act (TCPA) and all applicable regulations
  • Include opt-out instructions in all marketing messages
  • Honor opt-out requests immediately
  • Comply with all carrier requirements and industry best practices for SMS messaging
  • Not send messages containing illegal, harmful, threatening, or deceptive content
  • Maintain records of consent for all message recipients

3. Account Responsibilities

If you create an account on the Service, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Service Availability

We strive to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

5. User Content

Any content you submit through the Service (messages, data, feedback) remains your property. However, by submitting content, you grant Powo Studios LLC a non-exclusive, worldwide, royalty-free license to use, store, and process that content as necessary to provide the Service. You represent that you have the right to submit any content you provide.

6. Third-Party Services

The Service may integrate with or link to third-party services (e.g., Twilio for SMS delivery, payment processors). Your use of third-party services is subject to their own terms and privacy policies. We are not responsible for the practices or content of third-party services.

7. Indemnification

You agree to indemnify and hold harmless Powo Studios LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

8. Dispute Resolution

Any disputes arising from these Terms of Use shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached within 30 days, disputes shall be resolved through binding arbitration in Palm Beach County, Florida, in accordance with the rules of the American Arbitration Association. Each party shall bear its own costs.

9. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
